Terms & Conditions
The terms governing use of the Kloy macOS app, website, and related services.

Please read these Terms and Conditions ("Terms") carefully before using the Kloy macOS app, the website at kloyapp.com, and related services (the "Service") operated by Strum Technology Corp, a Delaware corporation doing business as Kloy ("us", "we", or "our").
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
2. Description of Service
Kloy is a focus-tracking and reporting product for macOS that may include:
- Local activity sampling and optional Screen Analysis (screenshot + on-device OCR)
- Optional Screen Analysis that uses an on-device, fine-tuned model based on Google’s Gemma (including a LoRA adapter distributed with Kloy); base model weights may be fetched to your machine on first use
- AI-assisted focus classification and report narratives
- Focus goals, projects/tasks, dashboards, and activity logs
- Daily and weekly focus reports
- Local PDF export
- Optional verified public report links hosted by us
- Website waitlist, documentation, and related online services

3. Eligibility and accounts
You must be able to form a binding contract to use the Service. The Service is not intended for children under 13.
Kloy does not currently require a traditional cloud user account for local tracking. If you join the waitlist or later create an account for paid features, you must provide accurate information and keep any credentials secure. You are responsible for activity under your credentials.
4. Acceptable use
You agree not to:
- Use the Service in violation of law or others' rights
- Attempt unauthorized access to our systems or other users' data
- Upload or publish malware, or abuse published report hosting
- Misrepresent published reports as third-party audited surveillance
- Reverse engineer the Service except as allowed by law
- Resell or misuse our API proxy in a way that harms the Service
- Use optional Screen Analysis (or any Gemma-derived components included with Kloy) for restricted uses described in Google’s Gemma Prohibited Use Policy, including illegal activity and other prohibited categories listed there (for example, certain sensitive professional advice or abusive uses forbidden by that policy)
- Violate applicable laws and regulations in connection with the Service
For Screen Analysis, Google’s Prohibited Use Policy is incorporated by reference as additional use restrictions on the Gemma-derived model components. We may suspend or terminate access for violations of these Terms or those restrictions.
5. Your content and local data
You retain ownership of content and data you create with the Service (including local activity logs and reports).
You grant us a limited license to host, process, and display content you choose to upload or publish (for example waitlist details or a published report snapshot) solely to operate the Service.
You are responsible for what you choose to share publicly via a report link and for complying with workplace, client, and privacy obligations when using Screen Analysis or sharing reports.
5.1 Published reports
When you publish a report link:
- The snapshot is publicly reachable by anyone with the URL
- Report content is not editable after publish (new publish creates a new link)
- You may Unpublish from the app to remove the snapshot from our hosting
- Unpublishing does not retract copies third parties already viewed, saved, or redistributed
- Deleting a local report does not automatically unpublish a cloud snapshot
6. AI features and accuracy
Classification scores, reasons, sensitive-surface gating, and AI-written report narratives are assistive outputs. They may be incomplete or incorrect. Pattern-based PII masking and the sensitive-surface gate are not guarantees.
You remain responsible for reviewing outputs before sharing them with clients or employers. Time-allocation minutes and percentages in reports are computed from local logs; narrative text is model-generated and constrained to describe that data, but you should still verify before publishing.
7. Intellectual property
The Service, branding, and original software are owned by us or our licensors. You may not copy, modify, or distribute our software except as permitted by an applicable open-source license or written agreement.
We claim no ownership over your local activity data or the substantive content of your reports.
8. Fees and payment
Marketing materials may describe Personal plan pricing (including a pre-launch beta discount), waitlist perks, or Kloy AI plan pricing. Paid billing may not yet be live. When paid plans are offered:
- Fees will be based on the plan you select
- Payments will be processed by a third-party processor
- Fees are generally non-refundable except where required by law
- We may change prices with notice; continued use after the change effective date constitutes acceptance where permitted
Free tiers, token allowances, and waitlist perks may change or end.
9. Third-party services
The Service depends on third parties (AI providers, Cloudflare, optionally analytics and payment processors). Their terms and privacy policies apply to their processing. We are not responsible for third-party services we do not control.
9.1 Third-party models (Gemma)
Optional Screen Analysis may include components derived from Google’s Gemma model family. Kloy is a commercial product that may include those components as described in our Licenses page and in the NOTICE.txt shipped with the app.
- Your use of Screen Analysis is also subject to Google’s Gemma Terms of Use and Prohibited Use Policy.
- Gemma is provided under and subject to the Gemma Terms of Use found at ai.google.dev/gemma/terms.
- Kloy has modified the model via fine-tuning (a LoRA adapter). Those modifications are disclosed in the app notice and on Licenses.
- Redistribution, hosting, or reverse-engineering of model weights outside what Kloy’s own license and Google’s Gemma Terms allow is restricted per Google’s terms.
- As described in Google’s Gemma Terms, Google may restrict or suspend use of Gemma where use violates those terms, the Prohibited Use Policy, or applicable law. That does not limit remedies available under these Terms for misuse of the Service.
Enabling Screen Analysis constitutes acknowledgment that Gemma-derived components are subject to Google’s terms in addition to these Terms.
10. Termination
You may stop using the Service and uninstall the app at any time. You may delete local data under ~/.kloy/ and Unpublish shared links.
We may suspend or terminate access if you violate these Terms, abuse the Service, or if we discontinue the Service. Upon termination, provisions that by nature should survive (including intellectual property, disclaimers, and limitation of liability) will survive.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT REPORTS WILL BE ACCEPTED BY ANY CLIENT OR EMPLOYER.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID US.
Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.
13. Indemnity
You will defend and indemnify us against claims arising from your misuse of the Service, your published reports, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.
14. Privacy
Our Privacy Policy explains how we collect and use information. It is incorporated by reference into these Terms.
15. Changes to Terms
We may modify these Terms by posting an updated version on this page. Material changes may be communicated by email or in-product notice when appropriate. Continued use after changes become effective constitutes acceptance where permitted by law.
16. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Courts in Delaware (or, if required, the federal courts sitting there) shall have exclusive jurisdiction, except where applicable consumer law requires otherwise.
